Foresight POS - Terms of Service

Welcome to Foresight POS, a product owned and operated by Foresight Technologies LLC ("we," "our," or "us"). By accessing or using our point-of-sale platform, dashboard, hardware integrations, and related services (collectively, the "Service"), you ("you," "User," or "Merchant") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not use the Service.

1. Description of Service

Foresight POS is a multi-tenant, cloud-based software-as-a-service (SaaS) platform designed to provide point-of-sale, inventory management, accounts payable automation, and reporting services to businesses. Access to specific modules or features (e.g., advanced analytics, AI tools, kitchen display systems) may be contingent upon your active subscription tier. We reserve the right to add, remove, or reassign features between different subscription tiers at our sole discretion without prior notice.

2. Account Registration and Responsibilities

Eligibility: You must be a legally recognized business entity and at least 18 years of age to use the Service.
Account Security: You are responsible for safeguarding your login credentials (including PINs used on POS terminals) and for all activities that occur under your account.
Multi-Tenant Boundaries: You agree not to attempt to access, modify, or extract data belonging to other merchants on the platform.

3. Acceptable Use

Merchants may not use the Service to sell illegal goods, restricted services, or any items that violate Stripe’s acceptable use policies. We reserve the right to immediately suspend accounts found violating these rules.

4. Payments, Subscriptions, and Hardware

Payment Processing: Payment processing services for Foresight POS are provided by Stripe and are subject to the Stripe Connected Account Agreement. By agreeing to these Terms, you also agree to be bound by the Stripe Services Agreement.
Subscriptions and Platform Fees: Access to the Service is billed on a subscription basis. In addition to standard subscription billing, the Service applies a platform fee or markup on processed transactions (including online, terminal, or manual entry). These fees are automatically deducted from your payouts prior to settlement. Failure to pay subscription fees may result in immediate suspension or termination of your account.
Chargebacks & Refunds: The Merchant is 100% responsible for all chargebacks, refunds, and associated fees. Foresight POS holds no liability for disputes between the Merchant and their customers.
Offline Payments: If you choose to accept offline payments (where card details are stored locally and authorized upon internet reconnection), you assume 100% of the financial risk for declined cards, expired cards, or insufficient funds discovered upon reconnection.
Hardware and Network Responsibilities: We facilitate integration with Stripe Terminal hardware. We are not liable for hardware failures, physical damages to terminals, or failures stemming from your local area network (LAN) and Wi-Fi environment. You are strictly responsible for maintaining a stable local network configuration.
Promotional Hardware: We may occasionally provide promotional hardware (e.g., Stripe M2 readers) drop-shipped directly to you. Even if provided free of charge by us, this hardware is subject to the manufacturer's warranty and we disclaim all liability for defects, damages, or shipping issues.

5. Third-Party Integrations & Taxes

QuickBooks Online (QBO) & Accounting: The Service includes features that synchronize daily sales and vendor invoices to QuickBooks Online. You are solely responsible for verifying the accuracy of the financial data synced to your accounting software. We are not liable for accounting errors, tax miscalculations, or auditing discrepancies resulting from the use of this integration.
Taxes: You are strictly responsible for configuring the correct sales tax rates within your dashboard and remitting applicable taxes to the appropriate local, state, and federal authorities. Foresight POS does not provide legal, accounting, or tax advice.
Other Partners: Integrations with services like Gusto or other third parties are governed by those third parties' respective terms of service.

6. Artificial Intelligence (AI) Features

Invoice Extraction: The Service uses artificial intelligence to extract data from uploaded vendor invoices. You acknowledge that AI extractions may contain errors. It is your strict responsibility to review and approve all AI-extracted data before it is saved, processed, or synced to accounting software.
Liability: We disclaim all liability for overpayments, missed payments, or inventory discrepancies resulting from unverified or incorrect AI data extraction.

7. Data Ownership and Privacy

Your Data: You retain all rights and ownership to the business data you input into the Service (e.g., inventory counts, sales data, customer information).
Our Rights: You grant us a non-exclusive license to use, store, and process your data solely for the purpose of operating, maintaining, and improving the Service.
Customer Data: You are responsible for ensuring that your collection of consumer data (e.g., for digital receipts or loyalty programs) complies with all applicable privacy laws (such as GDPR or CCPA).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORESIGHT POS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Offline-First Data Sync: The Service allows for offline operation by storing transaction data locally on your hardware. We disclaim all liability for data loss that occurs due to hardware failure, theft, application deletion, or damage before the local database has successfully synchronized with our cloud servers.
Service Availability: We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. The Service is provided "AS IS" and "AS AVAILABLE."

9. Indemnification

You agree to indemnify, defend, and hold harmless Foresight Technologies LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from your use of the Service, your violation of these Terms, your violation of Stripe's agreements, or your infringement of any third party's rights (including intellectual property or privacy rights).

10. Termination

We reserve the right to suspend or terminate the Service at our sole discretion, with or without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or an in-app notification. Continued use of the Service after changes are published constitutes your acceptance of the revised Terms.

12. Dispute Resolution and Arbitration

Please read this section carefully, as it affects your rights. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Service, shall be resolved by binding arbitration, rather than in court. You and Foresight Technologies LLC agree that you may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

13. App Store and Google Play Disclaimers

If you download the Service via an application from the Apple App Store or Google Play Store, you acknowledge that these Terms are between you and Foresight Technologies LLC, not with Apple Inc. or Google LLC. Apple and Google are not responsible for the Service or its content, nor do they have any obligation to furnish maintenance or support services for the application.

14. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. These Terms, along with our Privacy Policy, constitute the entire agreement between you and Foresight Technologies LLC regarding the Service.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.
